What is the difference between these two contracts?

1. Employee Confidentiality Agreement contains non-compete provisions that prohibit the contractor from engaging in work that is in direct competition with your business and the work to be performed under the terms of the Agreement. Non-compete agreements are valid so long as the length of time is reasonable, with other factors considered. Generally speaking, the Employee Confidentiality and Non-Compete Provisions are for someone who is working for you on a longer timeframe.

This agreement is for business owners to employees to protect company products, trade secrets, client information, and other sensitive information. It also precludes the contractor from working for or together with direct competition for a certain period of time. This type of agreement (which is also referred to as a non-disclosure agreement or “NDA”) is used before hiring a contractor for a project to protect company trade secrets and procedures.

2. The Simple Independent Contractor Agreement does not contain a non-compete clause, but it DOES INCLUDE confidentiality provisions to protect your trade secrets and client information.
This 4-page agreement is for business owners to give to independent contractors and/or third-party vendors. It is a simple agreement that contains a confidentiality provision. Independent Contractors may also use this template to give clients limited work. THIS AGREEMENT DOES NOT preclude the contractor from working for other people–even if it’s with direct competition.
The main purpose of this Agreement is to list out the duties expected to be performed by both parties and to be clear that the independent contractor is NOT an employee, and to limit liability.
